Purchase Price and Payment

1. Seller's Representations and Warranties

1.1 Breed and Parentage: The Seller represents that the puppy is a purebred Golden Retriever with AKC-certified parentage. Both parents are from AKC-certified bloodlines.

1.2 Health at Time of Sale: The Seller represents that, to the best of their knowledge, the puppy is in good health at the time of transfer and has received age-appropriate vaccinations and deworming treatments.

1.3 Genetic Testing: The mother has been Embark tested to verify genetic health. Test results are available upon request.

1.4 Socialization: The puppy has been raised in a home environment with daily handling and early socialization with children and other pets.

1.5 Limitations: The Seller makes NO warranties or guarantees, express or implied, regarding the puppy's future size, weight, color, temperament, trainability, show quality, breeding quality, or suitability for any particular purpose beyond what is expressly stated in this Contract.

2. Health Guarantee

2.1 Veterinary Examination: The Buyer agrees to have the puppy examined by a licensed veterinarian within 72 hours of taking possession. The Buyer must provide written veterinary documentation to the Seller within 5 business days.

2.2 Congenital Defects: If a licensed veterinarian diagnoses a serious, life-threatening congenital health defect within 72 hours of possession that was not disclosed at the time of sale, the Buyer must immediately notify the Seller in writing and provide complete veterinary documentation.

2.3 Second Opinion: The Seller reserves the right to obtain a second opinion from a veterinarian of the Seller's choosing at the Seller's expense. If both veterinarians agree on the diagnosis, the Seller may, at the Seller's sole discretion, offer a replacement puppy from a future litter.

2.4 Exclusions: This health guarantee does NOT cover: minor health issues treatable with routine veterinary care; injuries sustained after the puppy leaves the Seller's care; health issues caused by neglect, abuse, or improper care; parasites (internal or external); viral infections contracted after pickup; allergies; or any condition that develops more than 72 hours after taking possession.

2.5 No Monetary Refunds: Under no circumstances will monetary refunds be provided. The Seller's maximum liability is limited to providing a replacement puppy from a future litter.

3. Buyer's Obligations and Responsibilities

3.1 Proper Care: The Buyer agrees to provide the puppy with proper nutrition, clean water, adequate shelter, regular veterinary care, vaccinations, parasite prevention, and a safe, loving home environment for the duration of the dog's life.

3.2 Veterinary Care: The Buyer agrees to maintain regular veterinary care and to keep the puppy current on all vaccinations and preventative treatments as recommended by a licensed veterinarian.

3.3 Training and Socialization: The Buyer agrees to provide appropriate training and continued socialization to ensure the puppy develops into a well-adjusted adult dog.

3.4 Compliance with Laws: The Buyer agrees to comply with all applicable local, state, and federal laws regarding dog ownership, licensing, and vaccination requirements.

4. Right of First Refusal

If at any time the Buyer is unable or unwilling to keep the puppy, the Buyer agrees to contact the Seller first and offer the Seller the right of first refusal before rehoming the dog or surrendering it to a shelter or rescue organization. The Buyer agrees never to sell, give away, or abandon the dog without first offering it back to the Seller.

5. Deposit and Payment Terms

5.1 Non-Refundable Deposit: The $500 deposit is non-refundable under all circumstances except as mutually agreed upon in writing by both parties.

5.2 Final Payment: The balance of the purchase price must be paid in full in cash or certified check before the puppy will be released to the Buyer. Personal checks must clear the Seller's bank before the puppy will be released.

5.3 Failure to Pay or Pickup: If the Buyer fails to pay the balance or pick up the puppy within 7 days of the agreed-upon pickup date without prior written arrangement, the Seller reserves the right to consider this Contract void, retain the deposit, and offer the puppy to another buyer.

6. Limitation of Liability and Indemnification

6.1 Limitation of Liability: To the fullest extent permitted by law, the Seller's total liability under this Contract shall not exceed the purchase price paid by the Buyer for the puppy. The Seller shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

6.2 Indemnification: The Buyer agrees to indemnify, defend, and hold harmless the Seller from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from the Buyer's ownership, care, or control of the puppy, including but not limited to any injury or damage caused by the puppy to any person or property.

6.3 Assumption of Risk: The Buyer acknowledges that owning a dog involves inherent risks, including but not limited to the risk of injury, property damage, and unforeseen veterinary expenses. The Buyer voluntarily assumes all such risks.

7. Dispute Resolution

7.1 Governing Law: This Contract shall be governed by and construed in accordance with the laws of the State of California.

7.2 Venue: Any disputes arising out of or relating to this Contract shall be resolved exclusively in the state or federal courts located in El Dorado County, California, and both parties consent to the personal jurisdiction of such courts.

7.3 Negotiation: Before filing any legal action, the parties agree to attempt to resolve the dispute through good faith negotiation for a period of 30 days.

7.4 Attorney's Fees: In the event of any legal action arising from this Contract, the prevailing party shall be entitled to recover reasonable attorneys' fees and costs.

8. General Provisions

8.1 Entire Agreement: This Contract, together with the Terms of Service, Refund Policy, and Privacy Policy, constitutes the entire agreement between the parties and supersedes all prior understandings and agreements, whether written or oral.

8.2 Amendments: This Contract may not be amended or modified except by a written document signed by both parties.

8.3 Severability: If any provision of this Contract is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

8.4 Waiver: The failure of either party to enforce any provision of this Contract shall not be construed as a waiver of that provision or the right to enforce it in the future.

8.5 Assignment: This Contract may not be assigned by the Buyer without the express written consent of the Seller.

9. Acknowledgment and Signatures

By signing below, both parties acknowledge that they have read, understood, and agree to be bound by all terms and conditions of this Contract.
